1Acceptance of Terms

By accessing or using BodhX AI, you agree to these Terms of Service. If you use the service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these terms.

2Description of the Service

BodhX AI provides AI agents, knowledge organization, customer communication channels, workflows, and tools to monitor and manage conversations. Features may be subject to plan limits, usage caps, beta terms, and availability changes.

3Accounts, Access, and Workspace Security

You are responsible for keeping login credentials, team access controls, and API tokens secure. You must provide accurate registration and billing information and promptly update it when it changes.

4Customer Content and Permissions

You retain ownership of your data and content. You grant BodhX AI limited rights to host, process, and use that content solely to operate and improve the service. You are responsible for confirming that you have the rights, permissions, and lawful basis to upload content and process customer data through the platform.

5AI Outputs, Recommendations, and Automation

AI outputs are probabilistic and may not always be accurate, complete, or appropriate. You are responsible for reviewing AI-generated responses and automations before relying on them in customer communication or for legal, financial, healthcare, or other high-stakes decisions. BodhX AI is not a law firm, accounting firm, or emergency service provider.

6Third-Party Platforms and Integrations

Connected platforms such as WhatsApp, Meta, Instagram, Google, and other integrations are governed by their own terms and policies. BodhX AI is not responsible for third-party downtime, account suspension, policy enforcement, or changes to external services.

7Fees, Billing, and Taxes

• Paid plans, usage-based fees, and setup fees may apply as described at checkout or in your order
• Fees are generally non-refundable except where required by applicable law
• Displayed prices include applicable GST charged by BodhX AI; you remain responsible for any other taxes applicable to your business or usage

8Acceptable Use and Prohibited Conduct

You may not use BodhX AI for illegal activity, spam, impersonation, deceptive automations, unauthorized access, reverse engineering, or any conduct that violates these terms or applicable law.

9Suspension and Termination

We may suspend or terminate access for non-payment, misuse, fraud, security risk, or violations of these terms or platform policies. You may stop using the service at any time, subject to any outstanding fees or contractual obligations.

10Confidentiality and Data Handling

Each party agrees to protect the other party's confidential information with reasonable care and to use it only as needed to perform under these terms or as otherwise permitted in writing.

11Disclaimers

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BodhX AI disclaims warranties of merchantability, fitness for a particular purpose, uninterrupted availability, and error-free performance.

12Limitation of Liability

To the fullest extent permitted by law, BodhX AI is not liable for indirect, incidental, special, consequential, or punitive damages. Our maximum aggregate liability for any claim arising from these terms or the service is limited to the amount you paid to BodhX AI in the three months preceding the event giving rise to the claim.

13Governing Law and Dispute Resolution

These terms are governed by the laws of India. The courts in New Delhi shall have exclusive jurisdiction, subject to any mandatory legal rights you may have. Before initiating formal proceedings, both parties agree to attempt good-faith resolution through written discussion.

14Eligibility

You must be at least 18 years old and able to enter a binding contract to create an account. By creating one you confirm this and that you accept these Terms and our Privacy Policy; we record that acceptance, with the version of each document, when you sign up.

15Data Processing for Your Customers' Data

For personal data of your customers, leads and contacts that you process through BodhX, you are the Data Fiduciary and BodhX is your Data Processor under the Digital Personal Data Protection Act, 2023. These terms form the processing agreement between us:

• We process that data only on your documented instructions — your configuration of agents, channels, campaigns and integrations — and to provide and secure the service.
• You are responsible for a lawful basis and any required consent for your customers, for honouring opt-outs and do-not-disturb rules, and for telling them they are speaking with an AI assistant.
• We keep the data confidential, apply the security measures described in our Privacy Policy, and make sure people who handle it are bound by confidentiality.
• You authorise the service providers named in our Privacy Policy as sub-processors. We remain responsible for them and will update that list when it changes.
• We help you respond to your customers' requests where the product allows and, on request, help with your own compliance duties.
• We tell you without undue delay if we become aware of a personal data breach affecting your customers' data.
• When you close your account we delete that data on the schedule in our Privacy Policy, unless the law requires us to keep it.

16Changes to These Terms

We may update these terms from time to time. For material changes, we will provide notice by updating the effective date or through other reasonable means. Continued use of the service after changes take effect constitutes acceptance of the revised terms.
